Please read these Terms and Conditions ("Terms") carefully before using the www.greeneyevisions.com website and any associated AI-Powered Development Tools such as the V-Score Analyst, Script Doctor AI, CleanScore AI Validator, Beat Sheet Maker AI, and Voice Analyzer AI (collectively, the "Service") operated by Green Eye Visions LLC ("us," "we," or "our").

Your access to and use of the Service, including the payment of the Proprietary Intelligence Access Fee, is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Intellectual Property & Idea Ownership

1.A. User Content Ownership and Non-Storage Guarantee

You retain 100% ownership of all creative content you submit to the Service, including, but not limited to, loglines, scripts, and media samples submitted for analysis ("User Content").

By submitting User Content, you grant Green Eye Visions LLC a limited, non-exclusive, non-transferable, royalty-free license to use that User Content solely for the immediate, stateless purpose of generating the requested analysis, report, or script output. This license immediately expires upon the delivery of the result. We guarantee ZERO STORAGE, ZERO LOGGING, and ZERO USE of User Content for AI training.

1.B. Green Eye Visions System Ownership (Patent Pending)

The Service and its original content, including all code, front-end architecture, user interface, the V-Score result metric, the GEV Content De-Risking System, the structure of all analysis reports, trademarks, trade dress, features, and functionality are and will remain the exclusive intellectual property of Green Eye Visions LLC and its licensors. This property is protected by copyright, trademark, and other laws of the United States and foreign countries, and includes our Patent Pending system.

1.C. AI Tool Operation and Diagnostic Role (Critical Clause)

Our AI-Powered Development Tools function as diagnostic engines to accelerate human workflow and quantify risk. By using the Service, you acknowledge and agree that:

• Diagnostic Nature: The output generated by the AI tools (e.g., scores, metrics, suggestions) is considered informational and advisory only. It is designed to assist human judgment, not replace it.
• No Guarantee of Accuracy or Success: Green Eye Visions LLC does not warrant or guarantee 100% creative, predictive, or commercial accuracy in the reports. The ultimate responsibility for creative decisions, risk assessment, and financial outcomes remains solely with the User.

2. Proprietary Intelligence Access Fee and Irrevocable Service

2.A. Irrevocable Service Policy (Non-Refundable Fee)

The payment made for access to any part of the Service is defined as the Proprietary Intelligence Access Fee. Due to the instant, high-value, and proprietary nature of the diagnostic data delivered, the service is deemed irrevocably rendered and fully consumed immediately upon the successful generation and delivery of the analysis report.

Therefore, all sales are FINAL and NON-REFUNDABLE.

2.B. Reasons NOT Eligible for a Refund

We do not offer refunds based on subjective criteria or disagreement with objective data points. Reasons specifically not eligible for a refund include:

• Disagreement with Analysis: Dissatisfaction with the scores, metrics, or objective findings (e.g., V-Score rating, Pacing Index).
• Creative Disagreement: Dissatisfaction with the creative suggestions provided by the AI tools.
• Outcome Failure: Lack of guaranteed commercial success, inability to secure funding, or failure to successfully apply the provided insights.
• Accuracy Claims: Any claim related to the AI's perceived "accuracy" or "truthfulness" regarding future events.

3. Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by Green Eye Visions LLC. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Green Eye Visions LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

4. Limitation of Liability

In no event shall Green Eye Visions LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

5. Disclaimer of Warranty (AS IS Basis and Diagnostic Output)

Your use of the Service, including the V-Score Analysis and all AI tool output, is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Green Eye Visions LLC and its affiliates do not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the diagnostic results or analysis will guarantee commercial success or meet your subjective requirements.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
